Affiliate Program Terms & Conditions

This Affiliate Program Terms and Conditions (the "Terms") is made and entered into by and between Senocom LTD, a company incorporated, organized and existing under the laws of Republic of Cyprus, registration number HE458429, office at GERMASOGEIA, KAPSALION 4, FLOOR 2, Flat/office 203 BLOCK B 4044, Limassol, Cyprus ("Company", "we", "us", "our") and you ("Affiliate", "you", "your"), the party applying to become an affiliate in the Affiliate Program (the "Program").
By submitting an application or participating in the Program, you expressly consent to all terms and conditions contained herein.
1. Eligibility and Enrollment
1.1 Age Requirement
- You must be at least eighteen (18) years of age to participate in the Program.
- By joining, you confirm that you are of legal age in your jurisdiction to work with adult content and enter binding agreements.
1.2 Application Process
- Submit accurate, complete, and current information through our application process.
- Use of false information, aliases, or fictitious names is strictly prohibited.
- We reserve the right to request additional verification documents and conduct due diligence, including background checks, verification of traffic sources, business history, and other relevant data.
- Approval or rejection is at our sole discretion within 5 business days. Our decision is final and not subject to appeal.
- One account per individual or business entity.
1.3 Account Responsibilities
- Maintain confidentiality of your account credentials.
- You are responsible for all activity under your account.
- Notify us immediately of any unauthorized access.
- Keep all account information current and accurate.
2. Commission Structure
2.1 Revenue Share Model
- Earn up to 40% commission on net revenue generated by your referred players.
- Commissions are lifetime-based: earn as long as referred players remain active.
- "Net Revenue" means gross revenue minus:
a) Government taxes (VAT, GST, etc.)
b) Payment processing fees
c) Chargebacks and refunds
d) Fraudulent transactions
2.2 Commission Rates
- Standard rate: Up to 40% of net revenue.
- Rates may vary based on performance, volume, or promotional periods.
- We reserve the right to modify rates with 30 days' notice.
3. Payment Terms
3.1 Payment Schedule
- Payment Cycle: Monthly.
- Payment Terms: NET-15 (paid within 15 days after month end).
- Minimum Payout: 100 EUR.
- Payment Methods Available:
a) Wire Transfer (International/Domestic)
b) PayPal
c) Paxum
d) Cryptocurrency (USDT)
3.2 Payment Requirements
- Valid payment details must be provided before the 1st of each month.
- Full legal name and address required for invoicing.
- Tax documentation may be required based on jurisdiction.
- All earnings below minimum payout roll over to next payment cycle.
3.3 Payment Conditions
- Payments only for validated, compliant traffic.
- We reserve the right to withhold payment pending investigation.
- The Company reserves the right to adjust any payments to account for refunds, fraudulent transactions, chargebacks, or low-quality traffic, including retroactively.
- We may offset any amounts owed by you against future payments.
- Terminated accounts forfeit unpaid commissions if terminated for cause.
3.4 Tracking Disputes
- The Company’s tracking system is the final and binding authority on conversions, revenue, and payments.
- Any disputes must be submitted within 10 business days of invoice/report; after this period, the data is deemed final.
4. Promotional Guidelines
4.1 Approved Traffic Sources
You may promote through:
- Content Marketing and Reviews
- Display/Banner Advertising
- Native Advertising Networks
- Adult Traffic Sources
- Push Notifications
- Search Engine Optimization (SEO)
- Social Media Marketing
- Email Marketing (opt-in lists only)
4.2 Prohibited Traffic Sources and Practices
You may not use:
- Incentivized traffic or installs
- Automated or bot traffic
- Payment fraud (including stolen cards, chargeback farming)
- Misleading or misrepresentation (false promises, clickbait, impersonation of Everlusting Life or the Company)
- Low-quality or manipulated traffic (fake users, zero engagement, abnormal churn)
- Unauthorized use of domains or brand impersonation
- Use of branded keywords (e.g. "Everlusting Life", "Lust Goddess") in Google Ads or other paid search campaigns
- SMS spam
- Email spam (non-opt-in)
- Malware or unsolicited software
- Fraudulent or deceptive methods
- Objectionable content (child exploitation, violence, discrimination, illegal activities)
4.3 Promotional Materials
- You may use approved banners, landing pages, and assets provided by the Company.
- Modifying materials is only allowed if approved by the Company.
- Do not claim false endorsements or misleading statements.
- Upon termination or upon request from the Company, you must immediately remove all Company materials and stop using any IP.
4.4 Email Campaigns
- Affiliates conducting email campaigns must use the suppression list provided by the Company.
- Emails must not be sent to addresses on the suppression list.
- All opt-out requests received by the Affiliate must be forwarded to the Company without delay.
5. Cookie & Attribution
- The Company uses tracking cookies or other tracking mechanisms to attribute player activity to your account.
- Affiliates are responsible for ensuring proper integration of tracking codes.
- Misreporting, tampering, or manipulating tracking is strictly prohibited.
6. Traffic Quality & Compliance
- You must comply with all applicable laws and regulations in your territory.
- Traffic must be genuine, opt-in, and of high quality.
- Fraudulent, misleading, or low-quality traffic may result in account suspension or termination and loss of commissions.
- The Company reserves the right to withhold payments (hold period) until traffic quality has been verified.
- The Company reserves the right to audit your traffic sources and request access to data or media used. Non-compliance may lead to immediate suspension or termination.
7. Termination
- Either party may terminate this Agreement at any time with written notice.
- The Company may terminate the Agreement immediately if terms are violated.
- Upon termination, unpaid commissions may be forfeited if terminated for cause.
- Upon termination, you must immediately cease all promotion and remove all links, assets, and references to the Company.
8. Intellectual Property
- All trademarks, copyrights, and IP remain property of the Company.
- Use of IP must comply with the Company’s guidelines.
- Unauthorized use of Company IP is prohibited.
9. Limitation of Liability
- The Company is not liable for any indirect, incidental, or consequential damages.
- The Company makes no guarantees of income, earnings, or results.
- Affiliate assumes all risk for participation in the Program.
- The Company’s liability shall not exceed the total commissions paid to you in the last 3 months preceding the claim.
10. Breach of Terms
- Any violation of these Terms may result in immediate suspension or termination of your account.
- The Company reserves the right to withhold and/or confiscate any unpaid commissions generated through fraudulent, misleading, or non-compliant activities.
- In cases where violations cause financial or reputational damage, the Company may pursue legal remedies, including recovery of damages.
11. Privacy Compliance
- You must comply with all applicable privacy and data protection laws, including GDPR, CCPA, and similar regulations.
- You must handle, store, and process personal data in accordance with legal requirements and maintain proper security safeguards.
12. Confidentiality
- You may have access to confidential Company information (marketing plans, financial data, strategies).
- You must not disclose, share, or misuse any confidential information.
- Upon termination, you must return or destroy all confidential materials.
- Confidentiality obligations survive termination.
13. Sub-Affiliates
- You are fully responsible for the actions of any sub-affiliates you engage.
- Sub-affiliates must comply with these Terms.
- Sub-affiliates may not modify tracking links or misrepresent their relationship with the Company.
- You must provide accurate information about sub-affiliates upon request.
14. Force Majeure
- The Company is not liable for delays or failures caused by circumstances beyond its reasonable control (including natural disasters, war, strikes, internet outages, government actions).
15. Indemnification
- You agree to indemnify and hold harmless the Company, its officers, and employees against any claims, damages, or expenses arising from your actions, including violations of these Terms, legal non-compliance, or third-party claims.
16. Disclaimer
- The Affiliate Program, tracking systems, and materials are provided “AS IS” without warranties of any kind.
- The Company disclaims all implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
17. Account Inactivity
- If your account remains inactive for 12 consecutive months and payment cannot be processed due to missing or outdated payment details, any remaining balance will be forfeited.
18. Governing Law
- This Agreement shall be governed by the laws of the Republic of Cyprus.
- Any disputes will be resolved in courts of Cyprus.
19. Amendments
- The Company may amend these Terms at any time by publishing an updated version on the official Affiliate Program website.
- Continued participation constitutes acceptance of the updated Terms.
20. Notices
- Notices sent to the email or postal address listed in your Affiliate Account are deemed delivered, even if unread or filtered.
- It is your responsibility to keep your contact information accurate and up to date.
